Whether you’re looking to purchase a piece of real property and secure construction financing or your company is merging with another, Brody will use the practical and creative methods that he has gained while helping clients reach their transactional goals in a variety of unique situations.  He understands that no transaction is a “one size fits all” transaction and that real estate, corporate, securities, franchise and general contract matters require attention to detail and an attorney willing to go the extra mile for his clients.

Clients

Brody assists a wide array of clients, from individuals to major corporations.  His clients have included, but are certainly not limited to, small retail businesses, large commercial real estate developers, major manufacturing companies and tax exempt organizations.

He also has a good deal of experience assisting startup companies attempting to raise equity through private securities offerings.

He has extensive experience representing franchises at all stages of the franchise process, from drafting the initial Franchise Disclosure Document and registering the franchise in multiple states to assisting clients with complying with all required disclosures during the sale of franchised locations.

Notable Representations

  • Represented clients in the sale of several hundreds of acres of farm land in one of Wisconsin’s most developed counties, making the farm land both very valuable and highly sought after by purchasers.  Brody took the transaction from the marketing stage all the way to closing the purchase of real estate in 12 separate parcels.
  • Assisted clients with a piece of developable, commercial real estate which was upside down in its mortgage for multiple reasons, including some very unique environmental issues and failure by a prior, potential purchaser, to obtain all necessary permits to develop the property.  Brody assisted the clients in obtaining all the necessary permits, working with the bank to meet their requirements and negotiating with the purchasers to obtain the most advantageous result possible.  After over three years of attempting to sell a piece of property which they were losing money on, the clients were overjoyed to move on from the property with minimized loss.
  • He has assisted clients with multiple stock purchases in the recent past, including the purchase of a minority interest in a multimillion dollar corporation.
  • He has counseled numerous clients in the creation of new franchise systems, helping with the drafting of initial Franchise Disclosure Documents and creation of a Franchise Agreement.  Brody also has been instrumental in assisting clients in the often tedious and demanding registration process in multiple states.
