He has represented clients in a range of matters to include the acquisition, sale and merger of businesses, negotiating and drafting asset purchase and stock agreements, as well as agreements related to plans of merger, capital contribution, and other joint ventures.
His experience in representing companies has enabled him to become a strategic counselor on issues of all kinds. Derek has substantial commercial real estate experience in drafting and reviewing real estate purchase agreements, lease documents, environmental license agreements, and easement agreements. In addition, he handles the formation of limited liability companies and corporations, and prepares private placement memorandums for both start-up businesses and existing companies seeking additional capital.
In his information technology practice, he drafts and negotiates software license and software development agreements on behalf of the firm's clients.
